These Terms govern the use of the website https://www.coderiverstudio.com and the relationship between you and the company regarding the services we offer. Please read them before sending us an enquiry.
1. Who we are
The Contractor under these Terms is CODE RIVER STUDIO LTD., registered in the Bulgarian Commercial Register. Full company details – company ID, registered seat, VAT number and phone – are in our Privacy policy, section 1.
Below, the company is referred to as “the Contractor” or “we”, and you as “the Client” or “you”. The brand we trade under is Code River Studio.
2. What this document covers
These Terms apply to browsing the website, sending an enquiry through the form and our pre-contractual communication.
For a specific project we issue a quote setting out the scope, price, timeline and payment stages. The accepted quote is the document governing our relationship for that project – a separate contract is signed only if either party asks for one. In case of conflict, the quote (or the contract, where there is one) prevails over these Terms.
A quote is deemed accepted upon written confirmation by email from the Client and the first payment being made.
3. The website is not an offer
The information on this website, including package descriptions and stated prices, is an invitation to enquire, not a binding offer in the legal sense. A binding agreement arises only after we have received your enquiry, sent a specific quote and you have accepted it in writing.
We reserve the right to decline an engagement without giving reasons – for example where the project is beyond our capacity, the timeline is unrealistic or the subject matter is unlawful.
4. Prices
- All prices on the website are indicative and exclusive of VAT. The company is VAT-registered and tax at the applicable rate is added to the final amount.
- The stated ranges (for example “from €450”) reflect a typical scope. The actual price is set in a quote once the task has been clarified.
- The validity period of each quote is stated in the quote itself.
- Costs for a domain, hosting, font licences, paid imagery and third-party services are not included unless expressly stated.
5. Payment
Payment is made in stages, with the exact split set out in the quote. Typically the first instalment is due before work starts and the last one before publication. Each payment covers the work on the corresponding stage. We issue an invoice for each payment.
If payment is more than 14 days overdue, we may suspend work until the amount is settled. The delivery timeline is extended accordingly.
6. Timelines and Client materials
The timeline starts on the date we have received the advance payment and the necessary materials: copy, logo, photos, service information, contact details and access (domain, hosting, existing website).
If materials are late or incomplete, the timeline is extended by the corresponding period. Time spent waiting for the Client's feedback does not count towards the agreed timeline.
7. Scope and changes
The scope of the project and the number of revision rounds included are set out in the quote. Each round is one consolidated list of changes, sent at once. Fixing technical errors does not count as a revision round.
The Client provides feedback on a presented stage within 5 working days. Longer delays shift the delivery timeline accordingly, and where feedback is absent for a prolonged period the project may be temporarily suspended and a new timeline agreed.
Changes that fall outside the agreed scope (new pages, new functionality, a change of concept after the design has been approved) are quoted separately and carried out after written confirmation of the additional price and timeline.
8. Rights in the deliverables
- Upon full payment, the Client acquires the right to use the delivered website for the purposes of its business, including modifying it and moving it to another provider.
- Until final payment, the rights remain with the Contractor and anything handed over is a preview.
- The Contractor retains the right to use generic solutions that are not specific to the Client’s project – approach, structure, reusable components and its own library code – in other projects. This does not include your content, logo or data.
- Third-party components (fonts, themes, images, libraries) are used under their own licences, which remain in force after handover.
9. Showing the project in our portfolio
The Contractor may identify the project as its work and show images of it in a portfolio, presentations and professional profiles, unless the Client objects in writing. An objection can be raised at any time at sales@coderiverstudio.com and will be acted upon within a reasonable period.
10. Client responsibility for supplied content
The Client warrants that it holds the rights to the copy, images, logo and other materials it provides to us, and that publishing them infringes no third-party rights and breaks no law.
Where the website will process personal data of third parties (forms, registrations, bookings), the Client is the controller of that data and is responsible for the lawfulness of the processing. We assist with the technical side on request.
11. Limitation of liability
We build websites in good faith and with professional care, but some things are outside our control. We therefore state expressly:
- We do not guarantee specific positions on Google, nor a particular number of visits or enquiries. We carry out the technical work that supports visibility, but rankings are determined by third-party algorithms, the competitive landscape and the content.
- We are not liable for outages caused by a hosting provider, domain registrar, network operator or other external service.
- This applies equally where hosting is provided by us. In that case the service runs on a third-party provider's infrastructure and uninterrupted operation is not guaranteed. In the event of an outage we take due care to restore the site as quickly as possible, but we are not liable for lost profits or other damage arising from unavailability. Our liability is limited to the value of the hosting service for the period of the outage.
- We are not liable for damage caused by interference with the website after handover – by the Client or by a third party the Client has granted access to.
- We are not liable for lost profits. Our liability for direct damage is limited to the amount paid by the Client for the project concerned.
- These limitations do not apply in cases of intent or gross negligence on our part, nor where the law does not permit liability to be limited.
12. Defect warranty
For 30 days after launch we fix technical defects in our own work free of charge – errors, broken functionality, display problems. The warranty does not cover new requests, content changes, or problems caused by external services or third-party interference.
13. Domain and hosting
We recommend that the domain be registered in the Client's name. If we register it at the Client's request, it remains the Client's property and is transferred on request.
Hosting and the domain are renewed by the Client, unless a support arrangement covering them has been agreed. We are not responsible for a website that goes offline due to an expired domain or unpaid hosting.
14. Support
Support is not included in the build price unless expressly stated. It is agreed separately – a monthly subscription or hourly billing – and its scope is described in the quote.
15. Termination
Either party may terminate work on a project by written notice.
Each payment covers the work on the corresponding stage. Accordingly, amounts for stages started or completed are not refunded – they cover work performed and time committed. Payments for stages not yet started are refunded. Materials produced up to that point are handed over once all work performed has been paid for.
If the Contractor is unable to continue the project, amounts received for work not started are refunded.
16. Use of this website
The content of this website – copy, images, code and layout – belongs to the Contractor and is protected by the Bulgarian Copyright and Related Rights Act. Browsing and quoting with attribution are permitted. Copying whole sections, automated scraping or commercial use without written consent are not.
The enquiry form may not be used for unsolicited commercial messages, for sending malicious content or in a way that loads the website beyond ordinary use.
17. Personal data and cookies
How we process personal data from enquiries and which cookies the website uses is described in our Privacy policy. Visit statistics load only after your consent through the cookie bar and that consent can be withdrawn at any time.
18. Changes to these Terms
We may amend these Terms. The current version is always published at this address, with its effective date stated. For a quote already accepted, the version in force at the time of acceptance applies.
19. Governing law and disputes
Matters not covered here are governed by Bulgarian law. Disputes are settled by agreement and, failing that, by the competent Bulgarian court. In case of any discrepancy in interpretation, the Bulgarian version of these Terms prevails.
If you are a consumer within the meaning of the Bulgarian Consumer Protection Act, you may contact the Consumer Protection Commission (kzp.bg). Complaints regarding personal data are submitted to the Commission for Personal Data Protection (cpdp.bg).
These Terms are in force as of 22.07.2026.
